Terms of Service

1. Acceptance of Terms

By accessing or using Orbital ERP ("Service") at orbitalerp.in, operated by Orbital ERP (Ahmedabad, Gujarat, India), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not access or use the Service. These terms constitute a legally binding agreement between you ("User" or "Customer") and Orbital ERP.

2. Description of Service

Orbital ERP is a cloud-based Enterprise Resource Planning (ERP) platform providing modules for accounting, GST compliance, inventory management, financial reporting, CRM, invoicing, HR, and related business management features. The Service is delivered as a Software-as-a-Service (SaaS) product on a subscription basis.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized access at admin@orbitalerp.in.

4. Subscription Plans and Billing

Orbital ERP is offered on subscription plans (monthly or annual). By subscribing, you authorize us to charge your selected payment method for the subscription fee on each billing cycle.

  • All prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
  • Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date.
  • We reserve the right to change subscription pricing with 30 days' prior notice.
  • Failed payments may result in temporary suspension of your account until payment is resolved.

5. Refund and Cancellation Policy

Cancellations:

  • You may cancel your subscription at any time from your account settings.
  • Cancellation takes effect at the end of the current billing cycle. You will retain access to the Service until the cycle ends.
  • Cancelling a subscription does not automatically delete your data. Your data is retained for 90 days post-cancellation, after which it may be permanently deleted.

Refunds:

  • Monthly subscriptions: No refunds are issued for partial months or unused periods.
  • Annual subscriptions: If you cancel within 7 days of the annual renewal date and have not used the Service during that period, you may request a full refund by emailing admin@orbitalerp.in.
  • Refunds for duplicate charges or billing errors will be processed within 5–7 business days.
  • Refunds are credited to the original payment method only.

For all billing disputes, contact us at admin@orbitalerp.in within 30 days of the charge.

6. Free Trial

Where offered, free trials are available for a limited period as specified at signup. No payment is charged during the trial. At the end of the trial, your account will either be automatically converted to a paid plan (if payment details were provided) or access will be suspended. You may cancel before the trial ends to avoid any charges.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable Indian laws.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems.
  • Reverse engineer, decompile, or disassemble the Service.
  • Resell, sublicense, or commercially exploit the Service without our prior written consent.
  • Upload malicious code, viruses, or any content that disrupts the Service.
  • Use the Service to store or transmit unlawful, defamatory, or fraudulent content.

8. Intellectual Property

All rights, title, and interest in the Service — including software, design, trademarks, and content — belong to Orbital ERP. You retain ownership of all business data you upload. By using the Service, you grant us a limited license to process your data solely to provide the Service.

9. Data and Privacy

We process your data in accordance with our Privacy Policy. You are responsible for ensuring you have the right to upload any data you enter into the Service and that doing so complies with applicable laws.

10. Third-Party Integrations

The Service may integrate with third-party services (e.g. Razorpay for payments, GST portal, WhatsApp Business API). Use of these integrations is subject to their respective terms and privacy policies. We are not liable for the actions, content, or policies of third-party services.

11. Service Availability and Support

We aim to maintain 99.5% uptime but do not guarantee uninterrupted availability. We may perform scheduled maintenance with advance notice. Support is provided via email at admin@orbitalerp.in during business hours (Monday–Saturday, 9 AM–6 PM IST).

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or non-infringement. We do not warrant that the Service will be error-free or meet your specific requirements.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Orbital ERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount paid by you in the 3 months preceding the claim.

14. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. We encourage you to contact us first to resolve disputes amicably.

15. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes via email or a prominent notice on our website at least 15 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
